4 Indemnification Obligations
You agree to indemnify and hold harmless TechLead from certain claims and liabilities arising from your use of our services.
Indemnification Scope
You agree to defend, indemnify, and hold harmless TechLead, its officers, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:

Limitation of Liability
LIMITATION OF LIABILITY CLAUSE
To the maximum extent permitted by applicable law, TechLead's total liability for any claims arising from or related to our services shall not exceed the total fees paid by you for the specific services giving rise to such claims during the twelve (12) months preceding the claim.
Direct Damages
Our liability for direct damages is limited to the fees paid for the specific services that gave rise to the claim, not to exceed the total project value.
Indirect and Consequential Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
Consequential Damages Exclusion
Under no circumstances shall TechLead be liable for consequential, indirect, special, or punitive damages, regardless of the theory of liability.

- • Damage to reputation or goodwill

Mitigation Requirements

Legal Information and Dispute Resolution
Governing Law and Jurisdiction
Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles.
Jurisdiction: Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

Dispute Resolution Procedures
We encourage the resolution of disputes through good faith negotiation and alternative dispute resolution mechanisms before resorting to litigation.
Step 1: Direct Negotiation
Parties shall attempt to resolve disputes through direct negotiation for a period of thirty (30) days before pursuing other remedies.
Step 2: Mediation
If direct negotiation fails, parties may agree to non-binding mediation through a mutually acceptable mediator in Cyprus.
Step 3: Legal Proceedings
If alternative dispute resolution is unsuccessful, disputes shall be resolved through the Cyprus court system as specified above.
Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Severability Application
The invalidity of any provision shall not affect the validity of the remaining terms. If possible, invalid provisions shall be interpreted to achieve the intended economic effect.
